Overview

Capital on terms that fit the business.

Capital shapes a company long after the money is spent. The structure, the terms, and the partner all influence how much control owners keep and how much flexibility the business has for its next move.

Thornbury Lane advises middle-market companies on growth capital, recapitalizations, acquisition funding, and refinancing. We build the investment case, identify the investors and lenders best suited to the opportunity, and run a process that gives our clients several offers to choose from.

Our aim is the best terms available, in a structure that fits the owner’s long-term plans.

Capital Solutions

How we help companies raise capital.

From a first institutional raise to a full recapitalization, each solution is matched to the company’s stage, cash flow, and objectives.

01

Growth Equity

Minority or majority equity capital to fund expansion, new markets, or product development, with terms that preserve the owner’s role.

02

Private Placements

Equity and debt offerings placed directly with institutional investors, family offices, and other qualified capital providers.

03

Private Credit Advisory

Senior, unitranche, mezzanine, and hybrid debt from non-bank lenders, structured around the company’s cash flow.

04

Acquisition Financing

Capital to complete a specific acquisition or a buy-and-build strategy, arranged in step with the transaction timeline.

05

Recapitalizations

Reworking the capital structure to provide shareholder liquidity, retire existing debt, or support a change of ownership.

06

Minority Investments

Partial liquidity or growth capital from a minority partner, with governance terms negotiated to protect control.

07

Structured & Convertible Securities

Preferred equity, convertible notes, and other hybrid instruments when a straightforward equity or debt raise is not the best fit.

08

Refinancing

Replacing or restructuring existing debt to extend maturities, reduce cost, or gain covenant flexibility.

Capital Providers

Matching each raise to the right investors.

Different investors bring different expectations for return, governance, and timeline. A well-run raise targets the providers whose mandate fits the opportunity.

Private Equity

Majority and minority investors seeking established, cash-generating businesses with room to grow.

Family Offices

Patient capital with flexible structures and long investment horizons.

Private Credit Funds

Non-bank lenders providing senior, unitranche, and mezzanine debt.

Questions

Common questions about raising capital.

How much capital can a middle-market company raise?

It depends on the company’s revenue, profitability, growth, and the type of capital sought. Equity raises are sized around the growth plan and valuation; debt capacity is driven primarily by earnings and cash flow. We establish a realistic range in the first stage of the engagement.

Should we raise equity or debt?

Debt is usually less expensive and avoids dilution, but it requires predictable cash flow and adds fixed obligations. Equity offers flexibility and a partner, at the cost of ownership. Many raises combine the two. We model the options side by side so the trade-offs are clear.

How long does a capital raise take?

Most private capital raises take three to six months from engagement to funding, depending on the complexity of the structure and the number of investors involved.

Will we give up control of the company?

Not necessarily. Many of our capital markets engagements involve minority investments or debt, where existing owners retain control. Governance rights, board seats, and protective provisions are negotiated as carefully as price.

What do investors typically want to see?

A clear account of historical performance, a credible growth plan, an experienced management team, and a defined use of proceeds. We help prepare each of these before any investor conversation begins.
